LEAD AE – ASSIST Terms of Service
Effective date: February 11, 2026
These Terms of Service (“Terms”) govern your use of LEAD AE – ASSIST (the “App”), www.LeadAE.com (the “Site”), and related services provided by Lead AE Inc (“we,” “us,” “our”).
By downloading, installing, accessing, or using the App or Site, you agree to these Terms. If you do not agree, do not use the App or Site.

2. The App
LEAD AE – ASSIST is a desktop application that assists post-production workflows (e.g., ingest, cloning, transcoding, logging, transcription/subtitling, and integrations with NLE tools). Some features run locally on your machine; some features may connect to third-party services.
3. Eligibility
You must be at least the age of majority where you live, or have a parent/guardian’s permission, to use the App.
4. License to use the App
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your own internal or commercial work, subject to these Terms and any plan limits.
You may not:

reverse engineer, decompile, or attempt to extract source code except where legally allowed;

bypass licensing/entitlement checks or attempt to use the App without a valid subscription/license;
-
resell, rent, or sublicense the App;
-
use the App to violate laws or third-party rights.
5. Subscriptions, billing, and Merchant of Record
Purchases/subscriptions are processed by Paddle (our payment provider / merchant-of-record). In practice, this means:

Your payment method and checkout details are collected/handled by Paddle, not by us.

Charges may appear on your statement as Paddle or a Paddle-related descriptor.

Managing billing (updating card, invoices, cancellations) may occur via a Paddle-hosted customer portal.
In the App, checkout is opened in the user’s browser and uses Paddle Checkout
6. Entitlements / device binding
To issue and validate access, the App may generate a per-install identifier (“device ID”) and send it during checkout to bind the subscription to that device
The App may store subscription/entitlement tokens locally in secure storage.
7. AI features and third-party services
Some features may connect to third-party services you choose to enable. For example:

OpenAI: If you select OpenAI-based transcription or translation, media/audio and/or text you submit is transmitted to OpenAI’s API for processing

Sentry: If crash reporting is enabled, diagnostics may be sent to Sentry; the App includes scrubbing/redaction to reduce sensitive leakage

Paddle: Used for checkout and customer billing portal
You are responsible for complying with any third-party terms that apply to services you use.
8. Your content and responsibility
You retain ownership of your project files, media, transcripts, captions, and outputs. You are responsible for:

having rights to use any media you process;
-
complying with union, studio, NDA, and confidentiality requirements;

verifying outputs (especially AI-generated transcription/translation) before relying on them.
9. Updates
The App may download and install updates depending on your settings and “Offline Mode” preferences. Offline Mode may limit network-based features.
10. Acceptable use
You agree not to use the App or Site to:

infringe IP rights or privacy rights;

distribute malware or attempt unauthorized access;
-
violate laws, regulations, or contractual obligations.
11. Support
Support is provided on a best-effort basis via info@LeadAE.com.
12. Disclaimer of warranties
THE APP AND SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP OR SITE.
14. Termination
We may suspend or terminate access if you violate these Terms or if your subscription/license ends. You may stop using the App at any time.
15. Refunds
Refunds are governed by our Refund Policy at: leadae.com/refund.
16. Privacy
Our Privacy Notice explains what data we collect and how we use it: leadae.com/privacy.
17. Changes to these Terms
We may update these Terms from time to time. The “Effective date” will reflect the latest version. Continued use after changes means you accept the updated Terms.
18. Governing law
These Terms are governed by the laws of CA/USA, excluding conflict-of-law rules. Venue for disputes will be Los Angeles County/CA unless required otherwise by applicable law.
